This agreement is considered the whole agreement and shall be binding upon all parties and shall remain in full force & effect until such time that an amendment or another agreement supercedes this agreement. The Customer shall be known as the building and/or property owner and is the person being referred to NY Boss by the referring agents aka. Agent(s)

Any placement of advertisements & referral methods for NY Boss are at the sole discretion NY Boss. However, in order to solicit sales, the Agents also known as the referring agents shall not make promises or issue any warranty either expressed or implied pertaining to the advertising services offered by the NY Boss that does not adhere to the advertising plans outlined on the NY Boss Information website

The Agent(s) may make use of the NY Boss trademark for the sole purpose of promoting the NY Boss advertising services. Any such use shall be in accordance with the NY Boss trademark policies. It is expressly understood that this referral agreement does not grant the Agent any interest in the NY Boss trademark or any other intellectual property rights.

The relationship between the parties shall at all times be that of independent contractors. No employment, partnership or joint venture relationship is formed by this referral agreement and at no time may the Agent position itself as affiliated to NY Boss, except as an independent referrer. In view of this independent relationship the Agent shall not enter into any agreements on behalf of the NY Boss, shall make no warranty either expressed or implied on behalf of the NY Boss and shall not incur any expenses on behalf of the NY Boss.

This referral agreement does not grant exclusive rights to the Agent to act as referrer on behalf of NY Boss and the Agent shall have no rights under any other agreements entered into by the NY Boss with other Agents.The Agent agrees not to disclose any confidential information pertaining to NY Boss advertising services nor that of prospective or existing customers to any third party. The Agent may do follow-up enquiries with its referred customers to confirm their purchase of an advertising plan and to gather feedback about their experience with the NY Boss advertising services as supplied.

NY Boss may terminate this referral agreement at any time by giving the other party ten (10) days prior written notice. Upon termination by NY Boss all outstanding referral fees due to the Agent at that time shall be settled in full within thirty (30) days. Agent(s) shall indemnify, defend and hold NY Boss (and any other relation to the other party) harmless against any and all claims of whatsoever nature arising from misrepresentation, default, misconduct, failure to perform or any other act related to this agreement.

The referral fee shall be calculated as twenty five per cent (25%) of the net value of the advertising services sold by NY Boss as a direct result of a referral. Net value shall exclude value added tax, postage and packaging, insurance, refunds and payments not honored by a financial institution. Subsequent sales of advertising services to the referred customer aka. Customer shall not be subject to a referral fee except where such subsequent advertising plan purchase is the direct result of a repeat referral.

In the event Agent(s) submits referral agreement to NY Boss that deals with a Customer that another Agent(s) has also submitted then NY Boss will deem that the Agent(s) who have submitted referral first as evidenced by date on referral, fax transmission and/or e mail. In other words whichever Agent(s) submits the referral first by fax, mail or e mail will be recognized as the referring agent and entitles such Agent(s) to agreed upon twenty five per cent commission. In the event of any disputes regarding the referral agents rights or commission monies due NY Boss will have the sole right to decide which Agent(s) is due a referral commission and all decisions will be final.

Agent(s) shall fill out this referral form in its entirety to be eligible for the twenty five per cent referral commission. Any submissions that are not completed shall be considered incomplete and if another Agent(s) submits a completed referral agreement with the same Customer then the Agent(s) who submitted the completed referral form shall be considered eligible for the twenty five percent referral commission.

Any and all referral commissions will only be due and payable to Agent(s) upon the full payment for the advertising plan by Customer to NY Boss. Such payment may be in the form of a company check whose payment has cleared, a credit card payment, a pay pal payment or wire transfer. No referral commission will be paid to Agent(s) until such time that NY Boss is paid in full by Customer aka. building owner and/or property owner for an advertising plan.
